Spotify Terms and Conditions of Use

1. Introduction

Please read these Terms and Conditions of Use carefully before using Spotify.

These Terms and Conditions of Use (the "Terms") govern your use of our services, including our music streaming services (the "Services"), and our websites, including the Spotify website at www.spotify.com (the "Website"), as well as your relationship with Spotify AB, Regeringsgatan 19, 111 53 Stockholm, Sweden ("Spotify", "we" or "us").

By using our Services, you agree to be bound by these Terms. If you don't agree to these Terms, then you must not use our Services or access our Website.

2. Changes to the Terms

We may make changes to the Terms from time to time. If we make changes, we will post the amended Terms at https://www.spotify.com/legal/end-user-agreement/ and update the "Effective Date" above. If the changes, in our sole discretion, are material, we may also notify you by sending an email to the address associated with your account. By continuing to access or use the Services on or after the Effective Date of the revised Terms, you agree to be bound by the revised Terms. If you do not agree to the revised Terms, you must stop using the Services and cancel your account, if you have one.

3. Using our service

Who can use the Services: You must be at least 13 years old (or such higher minimum age in your country of residence) to use the Services. If you are under 18, you represent that you have your parent or guardian's permission to use the Services and that they have read and agreed to these Terms on your behalf.

Your account: You may need to create an account to use some of our Services. You are responsible for all activity that happens on your account. If you think someone has gained access to your account, please contact us immediately.

Your promises to us: When you use the Services, you promise that:

  • the information you submit to us is truthful and accurate;
  • you will maintain the accuracy of such information;
  • you are 13 years of age or older (or such higher minimum age in your country of residence);
  • your use of the Services does not violate any applicable law or regulation; and
  • you will comply with these Terms.

4. Rights we grant you

The Services and the Content (as defined below) are the property of Spotify or Spotify's licensors. We grant you a limited, non-exclusive, revocable licence to make use of the Services, and a limited, non-exclusive, revocable licence to make personal, non-commercial use of the Content (the "Licence"). This Licence shall remain in effect until and unless terminated by you or Spotify. You promise and agree that you are using the Services and Content for your own personal, non-commercial use and that you will not redistribute or transfer the Services or the Content.

The Spotify software applications and the Content are licensed, not sold, to you, and Spotify and its licensors retain ownership of all copies of the Spotify software applications and Content even after installation on your personal computers, mobile handsets, tablets, wearable devices, speakers and/or other devices ("Devices").

5. Content and Intellectual Property Rights

Spotify and its licensors own all rights, title and interest in and to the Services and Content. These rights include, but are not limited to, all copyright and other intellectual property rights. The "Content" means all content that is made available through the Services, including all music (including audio and music videos), artwork, text, graphics, user interfaces, visual interfaces, photographs, trademarks, logos, sounds, music, and computer code.

You may not either directly or through the use of any device, software, internet site, web-based service or other means remove, alter, bypass, avoid, interfere with, or circumvent any copyright, trademark, or other proprietary notice marked on the Content or any digital rights management mechanism, device, or other content protection or access control measure associated with the Content including geo-filtering mechanisms.

6. User guidelines

Spotify respects intellectual property rights and expects you to do the same. We've established a few ground rules for you to follow when using the Services, to make sure Spotify stays enjoyable for everyone. Please follow these rules and encourage other users to do the same.

The following is not permitted for any reason whatsoever:

  • copying, redistributing, reproducing, "ripping", recording, transferring, performing or displaying to the public, broadcasting, or making available to the public any part of the Services or the Content, or otherwise making any use of the Services or the Content which is not expressly permitted under the Terms or applicable law or which otherwise infringes the intellectual property rights (such as copyright) in the Services or the Content or any part of it;
  • using the Services to import or copy any local files you do not have the legal right to import or copy in this way;
  • transferring copies of cached Content from an authorized Device to any other Device via any means;
  • reverse-engineering, decompiling, disassembling, modifying, or creating derivative works based on the Services, Content or any part thereof unless permitted by applicable law;
  • circumventing any technology used by Spotify, its licensors, or any third party to protect the Content or the Services;
  • selling, renting, sublicensing or leasing of any part of the Services or the Content;
  • circumventing any territorial restrictions applied by Spotify or its licensors;
  • artificially increasing play count or otherwise manipulating the Services by using a script or other automated process;
  • removing or altering any copyright, trademark, or other intellectual property notices contained on or provided through the Services (including for the purpose of disguising or changing any indications of the ownership or source of Content);
  • providing your password to any other person or using any other person's username and password;
  • "crawling" the Services or otherwise using any automated means (including bots, scrapers, and spiders) to view, access or collect information from Spotify or the Services; or
  • selling a user account or playlist, or otherwise accepting any compensation, financial or otherwise, to influence the name of an account or playlist or the content included on an account or playlist.

Please respect Spotify, the owners of the Content, and other users of the Services. Don't engage in any activity, post any User Content, or register and/or use a username, which is or includes material that:

  • is offensive, abusive, defamatory, pornographic, threatening, or obscene;
  • is illegal, or intended to promote or commit an illegal act of any kind, including but not limited to violations of intellectual property rights, privacy rights, or proprietary rights of Spotify or a third party;
  • includes your password or purposely includes any other user's password or purposely includes personal data of third parties or is intended to solicit such personal data;
  • includes malicious content such as malware, Trojan horses, or viruses, or otherwise interferes with any user's access to the Services;
  • is intended to or does harass or bully other users;
  • impersonates or misrepresents your affiliation with another user, person, or entity, or is otherwise fraudulent, false, deceptive, or misleading;
  • uses automated means to artificially promote content;
  • involves the transmission of unsolicited mass mailings or other forms of spam ("spam"), junk mail, chain letters, or similar;
  • involves commercial or sales activities, such as advertising, promotions, contests, sweepstakes, or pyramid schemes, that are not expressly authorized by Spotify;
  • links to, references, or otherwise promotes commercial products or services, except as expressly authorized by Spotify;
  • interferes with or in any way disrupts the Services, tampers with, breaches, or attempts to probe, scan, or test for vulnerabilities in the Services or Spotify's computer systems, network, usage rules, or any of Spotify's security components, authentication measures or any other protection measures applicable to the Services, the Content or any part thereof; or
  • conflicts with the Terms, as determined by Spotify.

You acknowledge and agree that posting any such User Content may result in immediate termination or suspension of your Spotify account. You also agree that Spotify may also reclaim your username for any reason.

7. About these Terms

We may update these Terms from time to time. We will always post the most current version on our website. By continuing to use Spotify after the changes become effective, you agree to the revised Terms.

If any part of these Terms is found to be invalid, illegal or unenforceable, the remainder of the Terms will remain in force.

You may not assign or transfer your rights or obligations under these Terms to anyone else without our prior written consent. We may assign or transfer our rights and obligations under these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets.

These Terms are the entire agreement between you and Spotify concerning the Services. They supersede any prior agreements or understandings.

If you don't comply with these Terms and we don't take action right away, that doesn't mean we're giving up any rights that we may have (such as taking action in the future).

These Terms do not confer any third-party beneficiary rights.

8. Service limitations and modifications

We use reasonable care and skill to keep our Services operational and to provide you with a positive experience. However, the Services are provided "as is" and "as available", without warranty of any kind.

We may from time to time change, suspend, or discontinue the Services (or any part of them) temporarily or permanently. We will notify you in advance of any material changes to the Services that would adversely affect you.

Spotify is not liable for any such changes, suspensions, or discontinuations. If you are a paying subscriber, you may be entitled to a refund in certain circumstances as described in our Payments and Cancellations Terms.

9. Customer support

For customer support with account-related and payment-related questions ("Customer Support Queries"), please contact our customer service using the contact details on the About Us section of our website. We will use reasonable endeavours to respond to all Customer Support Queries within a reasonable time frame but we make no guarantees or warranties of any kind that we will respond to your Customer Support Query within any particular time frame and/or that we will be able to answer your query to your satisfaction.

10. Payments and cancellations

If you purchase any of our paid Services, you agree to pay us the applicable fees and taxes and to additional terms specific to the paid Services. Failure to pay these fees will result in the termination of your paid Services. Also, you agree that:

  • your purchase may be subject to foreign exchange fees or differences in prices based on location (e.g. exchange rates);
  • we may store and continue billing your payment method (e.g. credit card) to avoid interruption of your paid Services and to pay for other Services you may purchase; and
  • if you purchase a subscription, your payment method automatically will be charged at the start of each subscription period for the fees and taxes applicable to that period.

To cancel a subscription, please visit your account page and follow the instructions for cancellation. If you cancel your subscription, you will continue to have access to the paid Services through the end of your current billing period.

11. Term and termination

These Terms will continue to apply to you until terminated by either you or Spotify.

Spotify may terminate the Terms or suspend your access to the Services at any time, including in the event of your actual or suspected unauthorised use of the Services and/or Content, or non-compliance with the Terms. If you or Spotify terminate the Terms, or if Spotify suspends your access to the Services, you agree that Spotify shall have no liability or responsibility to you and Spotify will not refund any amounts that you have already paid, to the fullest extent permitted under applicable law.

Sections 5, 12, 13, 14, 15, 16, 17, 18, 19, 20, 21, 22, and 23 herein, as well as any other sections of the Terms that, either explicitly or by their nature, must remain in effect even after termination of the Terms, shall survive termination.

12. Warranty disclaimer

YOU UNDERSTAND AND AGREE THAT THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT EXPRESS OR IMPLIED WARRANTY OR CONDITION OF ANY KIND. SPOTIFY AND ALL OWNERS OF THE CONTENT MAKE NO REPRESENTATIONS AND DISCLAIM ANY WARRANTIES OR CONDITIONS OF SATISFACTORY QUALITY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. NEITHER SPOTIFY NOR ANY OWNER OF CONTENT WARRANTS THAT THE SERVICES ARE FREE OF MALWARE OR OTHER HARMFUL COMPONENTS. IN ADDITION, SPOTIFY MAKES NO REPRESENTATION NOR DOES IT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY THIRD PARTY APPLICATIONS (OR THE CONTENT THEREOF), USER CONTENT, OR ANY OTHER PRODUCT OR SERVICE ADVERTISED, PROMOTED OR OFFERED BY A THIRD PARTY ON OR THROUGH THE SERVICES OR ANY HYPERLINKED WEBSITE, OR FEATURED IN ANY BANNER OR OTHER ADVERTISING AND SPOTIFY IS NOT RESPONSIBLE OR LIABLE FOR ANY TRANSACTION BETWEEN YOU AND THIRD PARTY PROVIDERS OF THE FOREGOING. NO ADVICE OR INFORMATION WHETHER ORAL OR IN WRITING OBTAINED BY YOU FROM SPOTIFY SHALL CREATE ANY WARRANTY ON BEHALF OF SPOTIFY IN THIS REGARD. SOME ASPECTS OF THIS SECTION MAY NOT APPLY IN SOME JURISDICTIONS IF PROHIBITED BY APPLICABLE LAW.

13. Limitation of liability

YOU AGREE THAT, TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOUR SOLE AND EXCLUSIVE REMEDY FOR ANY PROBLEMS OR DISSATISFACTION WITH THE SERVICES IS TO STOP USING THE SERVICES.

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL SPOTIFY, ITS OFFICERS, SHAREHOLDERS, EMPLOYEES, AGENTS, DIRECTORS, SUBSIDIARIES, AFFILIATES, SUCCESSORS, ASSIGNS, SUPPLIERS, OR LICENSORS BE LIABLE FOR (1) ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES; (2) ANY LOSS OF USE, DATA, BUSINESS, OR PROFITS (WHETHER DIRECT OR INDIRECT), IN ALL CASES ARISING OUT OF THE USE OF OR INABILITY TO USE THE SERVICES, REGARDLESS OF LEGAL THEORY, WITHOUT REGARD TO WHETHER SPOTIFY HAS BEEN WARNED OF THE POSSIBILITY OF THOSE DAMAGES, AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE; OR (3) AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES, MORE THAN THE AMOUNTS PAID BY YOU TO SPOTIFY DURING THE PRIOR THREE MONTHS IN QUESTION.

Nothing in the Terms removes or limits Spotify's liability for fraud, fraudulent misrepresentation, death or personal injury caused by its negligence, and, if required by applicable law, gross negligence. Some aspects of this section may not apply in some jurisdictions if prohibited by applicable law.

14. Third party rights

You acknowledge and agree that the owners of the Content and certain distributors (such as app store providers) are intended beneficiaries of the Terms and have the right to enforce the Terms directly against you. Other than as set out in this section, the Terms are not intended to grant rights to anyone except you and Spotify, and in no event shall the Terms create any third party beneficiary rights. Furthermore, the rights to terminate, rescind, or agree to any variation, waiver, or settlement of the Terms are not subject to the consent of any other person.

15. Entire agreement

Other than as stated in this section or as explicitly agreed upon in writing between you and Spotify, the Terms constitute all the terms and conditions agreed upon between you and Spotify and supersede any prior agreements in relation to the subject matter of these Terms, whether written or oral.

16. Severability

Unless as otherwise stated in the Terms, should any provision of the Terms be held invalid or unenforceable for any reason or to any extent, such invalidity or unenforceability shall not in any manner affect or render invalid or unenforceable the remaining provisions of the Terms, and the application of that provision shall be enforced to the extent permitted by law.

17. Waiver

Any failure by Spotify or third party beneficiaries to enforce the Terms or any provision thereof shall not waive Spotify's or the applicable third party beneficiary's right to do so.

18. Assignment

Spotify may assign the Terms or any part of them, and Spotify may delegate any of its obligations under the Terms. You may not assign the Terms or any part of them, nor transfer or sub-license your rights under the Terms, to any third party.

19. Indemnification

You agree to indemnify and hold Spotify harmless from and against all damages, losses, and expenses of any kind (including reasonable attorney fees and costs) arising out of or related to: (1) your breach of the Terms; (2) any User Content you post or otherwise contribute; (3) any activity in which you engage on or through the Services; and (4) your violation of any law or the rights of a third party.

20. Governing law and jurisdiction

The Terms and any non-contractual obligations arising out of or in connection with them shall be governed by and construed in accordance with the laws of Sweden.

Any dispute, controversy or claim arising out of or in connection with the Terms, or the breach, termination or invalidity thereof, shall be finally settled by the courts of Sweden, with the Stockholm District Court as the court of first instance.

21. Choice of law and venue

The laws of Sweden, excluding its conflicts of law rules, govern these Terms and your use of the Services. Your use of the Services may also be subject to other local, state, national, or international laws.

22. Trade restrictions

You acknowledge that the Content and Services, including the Spotify applications and any related documentation, are subject to export controls under the laws and regulations of the United States, the European Union and any applicable jurisdiction. You agree to comply with such laws and regulations governing use, export, re-export, and transfer of Content and Services and will obtain all required permits, licenses and authorizations thereunder.
